These Terms of Service govern all services provided by Origin Creative Design LLC, including but not limited to web design, branding, AI consultation, AI receptionist systems, automation systems, and digital strategy services. By engaging Origin Creative Design LLC, the client agrees to all terms outlined below.

 

1 Company Information

 

Origin Creative Design LLC is a limited liability company registered in the State of Georgia. All services are provided to clients within the United States.

1. Scope of Services

 

These Terms apply to all services including web design, brand strategy, UI and UX design, AI consultation, AI receptionist systems, inbound and outbound AI call systems, workflow automation, and digital advisory services.

 

All projects are initiated under a written proposal or agreement. These Terms apply to every engagement whether or not separately signed.

 

1. Payment Terms

 

Web and Branding Projects

Clients must pay fifty percent of the total project fee before work begins.

Twenty five percent is due when the project reaches fifty percent completion.

The remaining twenty five percent is due upon project completion before final delivery.

 

Deposits are non refundable after twenty four hours from payment.

 

Origin Creative Design LLC does not offer refunds under any circumstances once work has begun.

 

If a client cancels a project after work has started, the deposit is retained as compensation for time and resources spent.

 

1. Late Payments

 

Invoices not paid within fifteen days of issuance are subject to a ten percent late fee. Every additional fifteen day period will result in an additional ten percent added to the outstanding balance.

 

Failure to complete payment results in suspension of services.

 

If final payment is not made, ownership of the project remains with Origin Creative Design LLC and usage rights are revoked.

 

1. Project Abandonment

 

If a client fails to provide required content, communication, or clarification after three formal requests, the project may be considered abandoned.

 

If a client becomes unresponsive for thirty days, the project will be considered abandoned.

 

To resume a project after thirty days of inactivity, the client must pay fifty percent of the total project value as a reactivation fee.

 

If inactivity is less than thirty days, a fifteen percent reactivation fee applies.

 

1. Client Responsibilities

 

Clients are responsible for providing all content, media, approvals, and business information required for the project.

 

Clients are responsible for domain name purchase, hosting accounts, email services, and third party platform subscriptions. Origin may assist with setup but does not assume ownership or responsibility for those services.

 

1. AI Services and Subscription Terms

 

AI services operate on a monthly subscription basis with an additional one time setup fee of one thousand five hundred dollars.

 

The setup fee is non refundable.

 

The subscription includes a base plan of three hundred call minutes per month.

 

Subscriptions renew automatically each month.

 

Clients may cancel at any time. Cancellation stops future billing. No partial refunds are issued for unused time within a billing cycle.

 

AI updates are limited to five modifications per month. Additional updates are billed at two hundred dollars per update.

 

Emergency support outside normal business hours is billed at two hundred dollars per request.

 

1. AI Limitations and Liability

 

Clients must review and approve all AI scripts prior to launch.

 

Origin Creative Design LLC is not responsible for missed calls due to carrier outages, platform failures, or third party system interruptions.

 

Origin is not responsible for client CRM misconfiguration, misuse of the AI system, or business losses related to AI performance.

 

Origin guarantees quality implementation and high quality AI voice performance but does not guarantee specific business outcomes.

 

1. No Performance Guarantee

 

Origin Creative Design LLC does not guarantee revenue increase, lead generation volume, conversion rate improvements, search engine rankings, or specific marketing outcomes.

 

Origin is not responsible for lack of traffic, lack of marketing investment, or insufficient brand awareness efforts by the client.

 

1. Intellectual Property

 

Upon final payment, clients receive ownership rights to their completed website and branding assets.

 

Origin Creative Design LLC retains ownership of all proprietary systems, strategies, frameworks, workflows, and internal methodologies.

 

If full payment is not received, all intellectual property remains solely owned by Origin Creative Design LLC.

 

Origin retains the right to showcase completed projects in portfolios, case studies, marketing materials, and social media.

 

1. Maintenance and Ongoing Services

 

After final delivery, maintenance services are not included unless purchased separately.

 

Ongoing website maintenance and AI management require an active monthly service agreement.

 

1. Termination

 

Origin Creative Design LLC reserves the right to terminate a project if a client becomes abusive, uncooperative, non responsive, or violates these Terms.

 

If termination occurs due to client behavior, no refunds will be issued and unpaid balances become immediately due.

 

1. Limitation of Liability

 

To the fullest extent permitted by law, Origin Creative Design LLC shall not be liable for indirect, incidental, special, or consequential damages.

 

Total liability shall not exceed the total amount paid by the client for the specific service.

 

1. Chargebacks and Legal Costs

 

If a client initiates a chargeback after services have been rendered, the client agrees to reimburse Origin Creative Design LLC for all legal fees, recovery costs, and administrative expenses associated with resolving the dispute.

 

1. Governing Law

 

These Terms shall be governed by and interpreted under the laws of the Commonwealth of Massachusetts.

 

All disputes shall be resolved in courts located within Massachusetts.

 

1. Acceptance

 

By engaging services from Origin Creative Design LLC, the client acknowledges that they have read, understood, and agreed to these Terms of Service.
